Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using ClearTally ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

ClearTally is a financial transaction tracking service that:

• Connects to your bank and credit card accounts via Plaid
• Retrieves and displays your transaction data
• Sends daily email summaries of your transactions
• Provides a web dashboard for viewing, categorizing, and exporting transaction data

3. Eligibility

You must meet the following requirements to use ClearTally:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Reside in a country where Plaid services are available

4. Account Registration and Security

4.1 Account Creation

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of your password
• You must notify us immediately of any unauthorized access to your account
• One person or legal entity per account

4.2 Bank Connections

• You authorize ClearTally to access your financial data through Plaid
• You must have legal authority to connect the financial accounts you add
• ClearTally uses read-only access - we cannot initiate transactions or move money
• You can disconnect bank accounts at any time

5. Service Plans and Payment

5.1 Free Tier

• Connect up to 2 financial institutions
• 90-day transaction history
• Daily email summaries
• Free forever, no credit card required

5.2 Pro Tier ($49/year)

• Unlimited financial institutions
• Unlimited transaction history
• All features included
• Billed annually, auto-renews unless cancelled

5.3 Payment Terms

• Payment processed via Stripe
• All fees are non-refundable except as required by law
• You can cancel your Pro subscription at any time
• Upon cancellation, Pro features remain active until the end of your billing period
• We reserve the right to change pricing with 30 days notice

6. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose
• Violate any laws in your jurisdiction
• Infringe on intellectual property rights
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) without permission
• Resell or redistribute the Service without authorization
• Connect accounts you don't have authority to access
• Share your account credentials with others

7. Intellectual Property

• ClearTally and all related content, features, and functionality are owned by us
• Our trademarks, logos, and brand features are protected
• You retain ownership of your financial data
• You grant us a limited license to process and display your data to provide the Service

8. Data Accuracy and Liability

8.1 No Guarantee of Accuracy

While we strive for accuracy, we do not guarantee that transaction data is complete, accurate, or up-to-date. Data is provided by your financial institutions via Plaid and may contain errors or delays.

8.2 Not Financial Advice

ClearTally is a transaction tracking tool ONLY. We do not provide:

• Financial advice or recommendations
• Investment guidance
• Tax preparation services
• Legal or accounting advice

9. Limitation of Liability

IMPORTANT - PLEASE READ CAREFULLY:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEARTALLY SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Errors or inaccuracies in transaction data
• Unauthorized access to your account
• Interruptions or delays in the Service
• Actions taken based on information provided by the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, OR $100, WHICHEVER IS GREATER.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation

11. Indemnification

You agree to indemnify and hold harmless ClearTally from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of applicable laws

12. Third-Party Services

ClearTally relies on third-party services:

• Plaid: Financial data aggregation (subject to Plaid's terms and policies)
• Stripe: Payment processing (subject to Stripe's terms)
• Email Service: Daily transaction summaries

We are not responsible for the actions or policies of these third parties. Service disruptions by third parties may affect ClearTally functionality.

13. Termination

13.1 Termination by You

• You may delete your account at any time from your account settings
• Pro subscriptions can be cancelled at any time (no refunds for unused portion)

13.2 Termination by Us

We reserve the right to suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your account is inactive for more than 12 months
• Required by law or legal process

13.3 Effect of Termination

• Your access to the Service will cease immediately
• Your data will be deleted within 30 days
• Bank connections will be disconnected
• Email summaries will stop

14. Changes to the Service

We reserve the right to:

• Modify or discontinue the Service (or any part) at any time
• Add or remove features
• Change pricing with 30 days notice
• Update these Terms (see Section 15)

15. Changes to Terms

We may update these Terms from time to time. If we make material changes:

• We will update the "Last Updated" date
• We will notify you via email
• Continued use of the Service constitutes acceptance of the new Terms
• If you don't agree to the changes, you must stop using the Service

16. Governing Law and Disputes

• Governing Law: These Terms are governed by the laws of the State of [Your State], United States
